1. Who we are
These Terms of Service (“Terms”) govern purchases on and use of the website black-soc.com (the “Site”). The Site is operated by Secure Mining Inc., a Florida corporation (Florida Document No. P22000013260), doing business as BlackSOC (“BlackSOC”, “we”, “us”), 444 Brickell Ave, Suite 700, Miami, FL 33131, United States. 2. What we sell
BlackSOC is an accredited and authorized Cynet partner and MSP. We sell subscriptions to Cynet cybersecurity products and services (“Cynet Products”), including the Cynet platform and, where included in the purchased package, the CyOps 24×7 MDR service. Cynet Products are provided by Cynet. The scope of each package (Protect, Elite, All-in-One) is defined by Cynet and described on our pricing page. BlackSOC does not issue security certifications; statements on the Site about Cynet’s recognition or compliance frameworks are Cynet’s own.
3. Cynet terms
Your use of Cynet Products is also subject to Cynet’s end-user license agreement and service terms (“Cynet Terms”). By placing an order you confirm that you have read and accept the Cynet Terms, which we provide on request. If the Cynet Terms and these Terms conflict regarding the Cynet Products, the Cynet Terms control.
4. Business customers only
Our products and this shop are intended for businesses and organizations. You confirm that you are ordering for a business purpose, that you are authorized to bind the organization you order for, and that you are at least 18 years old.
5. Orders and prices
All prices are in U.S. dollars per license per 12-month term and exclude applicable taxes. The minimum order is 10 licenses. Volume pricing applies automatically based on the number of licenses of the package in your order. An order is accepted when we send you an order confirmation. We may correct pricing errors before accepting an order and may refuse or cancel an order, for example in case of suspected fraud, in which case we refund any amount paid.
6. Payment
You pay at checkout by card (processed by Stripe) or PayPal. You authorize us and our payment processors to charge the total shown. Payment data is handled by the processors; we do not store full card numbers.
7. Taxes
Prices do not include sales, use, value-added or similar taxes. Where we are required to collect tax, it is added at checkout or on your invoice. You are responsible for any taxes not collected by us. If you are tax-exempt, send us a valid exemption certificate before ordering.
8. Delivery and term
Cynet Products are delivered electronically. We send license or activation instructions to the email address you provide, normally within 1–2 business days after payment is confirmed. The subscription term is 12 months from provisioning of the licenses. Subscriptions do not renew automatically. Before a term ends we may send you a reminder; to continue, you place a new order.
9. Your responsibilities
You are responsible for correct installation and configuration of the agent on your systems, for the accuracy of the number of licenses you order, for access to your environment, and for lawful use. You will not resell or sublicense Cynet Products unless you are an authorized partner. You will not use the products to violate any law or third-party rights.
10. Support
For orders, invoices and license questions, contact us through our contact page. Product support and the MDR service are provided under the Cynet Terms; we forward and coordinate requests where needed. Optional managed SOC services by BlackSOC analysts are offered under a separate written agreement.
11. No guarantee of security outcomes
Security products and services reduce risk but cannot guarantee that every threat will be detected, prevented or removed. We do not guarantee that your systems will be free from attacks, data loss or interruption.
12. Refunds
All sales are final except as stated in our Refund Policy, which is part of these Terms.
13. Disclaimers
THE SITE AND, AS BETWEEN YOU AND BLACKSOC, THE PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Warranties, if any, for Cynet Products are given by Cynet under the Cynet Terms.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BLACKSOC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS, ARISING FROM THESE TERMS OR THE PRODUCTS. Our total liability for any claim is limited to the amount you paid to us for the product giving rise to the claim in the 12 months before the event. Nothing limits liability that cannot be limited by law.
15. Indemnity
You will defend and indemnify BlackSOC against third-party claims arising from your breach of these Terms or your unlawful use of the products.
16. Export and sanctions
You may not use or export the products in violation of U.S. export controls or sanctions, and you confirm you are not on a restricted-party list.
17. Privacy
Our Privacy Policy explains how we handle personal data.
18. Changes
We may update these Terms. The version in force when you order applies to that order. Changes do not affect orders already accepted.
19. Governing law and venue
These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law rules. The state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.
20. General
These Terms and the documents they reference are the entire agreement between you and BlackSOC for your order. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
